WarbleLive Terms of Use
Welcome to WarbleLive ("WarbleLive," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the WarbleLive website, mobile applications, software, APIs, products, and related services (collectively, the "Platform").
By creating an account, browsing the Platform, purchasing tickets, listing events, or otherwise accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Cookie Policy (where applicable), Refund Policy, Community Guidelines, and any other policies referenced herein.
If you do not agree to these Terms, you must immediately discontinue your use of the Platform.
1. DEFINITIONS
Unless the context otherwise requires, the following terms shall have the meanings assigned to them below:
- Account means a registered user profile created to access certain features of the Platform.
- Applicable Law means all laws, regulations, directives, judicial decisions, governmental orders and regulatory requirements applicable within the Federal Republic of Nigeria and any other jurisdiction in which WarbleLive lawfully operates.
- Buyer means any individual or entity that purchases or attempts to purchase Tickets through the Platform.
- Content includes text, graphics, images, logos, videos, audio, software, data, event information, comments, reviews and any other material appearing on or uploaded to the Platform.
- Event means any physical, virtual or hybrid gathering, performance, conference, exhibition, seminar, festival, competition or similar activity listed on the Platform.
- Event Organiser or Organiser means any individual, business, association or legal entity that creates, promotes, manages or sells tickets for Events through the Platform.
- Fees means all service fees, processing fees, convenience fees, commissions and other charges applicable to the Services.
- Force Majeure Event means any event beyond the reasonable control of a party including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, strikes, government actions, internet failures, cyberattacks or failures of third-party infrastructure.
- Intellectual Property Rights include copyrights, trademarks, patents, trade secrets, database rights, domain names, moral rights and all other proprietary rights recognised under applicable law.
- Platform means the WarbleLive website, mobile application, APIs, software, technology infrastructure and all related services.
- Privacy Policymeans WarbleLive's Privacy Policy, as amended from time to time.
- Services means all products and services offered through the Platform including event discovery, event creation, ticket sales, ticket distribution, payment processing facilitation, attendee management, QR code validation, analytics and any additional features introduced by WarbleLive.
- Ticket means any digital or physical credential issued through the Platform granting admission to an Event subject to the applicable terms and conditions.
- User means any visitor, Buyer, Organiser or other individual or entity accessing or using the Platform.
2. ACCEPTANCE OF THESE TERMS
These Terms constitute a legally binding agreement between you and WarbleLive.
You agree that your use of the Platform constitutes electronic acceptance of these Terms and has the same legal effect as a handwritten signature.
You further acknowledge that:
- you have the legal capacity to enter into binding contracts;
- where you are acting on behalf of a company, organisation or other legal entity, you possess the authority to bind that entity;
- you will comply with all applicable laws relating to your use of the Platform;
- you will provide complete, accurate and current information whenever requested by WarbleLive.
3. ELIGIBILITY
To use the Platform, you represent and warrant that:
- you are at least eighteen (18) years old or have attained the age of majority under the laws applicable to you;
- you possess the legal capacity to enter into binding contracts;
- you are not prohibited by any applicable law from using the Platform;
- you are not acting on behalf of any person or entity prohibited from engaging in transactions under applicable sanctions or anti-money laundering laws.
If you are under eighteen (18), you may only use the Platform under the supervision and consent of a parent or legal guardian.
WarbleLive reserves the right to refuse access to any person at its sole discretion where permitted by law.
4. ABOUT WARBLELIVE
WarbleLive is a digital technology platform that enables Event Organisers to create, market and manage Events while facilitating the sale and distribution of Tickets to Buyers.
Unless expressly stated otherwise, WarbleLive acts solely as a technology intermediary connecting Event Organisers and Buyers.
WarbleLive is not the organiser, promoter, sponsor, host or operator of Events listed on the Platform unless expressly identified as such.
Each Event Organiser remains solely responsible for:
- organising and conducting the Event;
- obtaining all necessary licences and permits;
- complying with applicable laws;
- ensuring attendee safety;
- honouring purchased Tickets;
- delivering the Event as advertised.
WarbleLive does not guarantee the quality, legality, safety, timing or success of any Event.
5. MODIFICATIONS TO THESE TERMS
WarbleLive may amend these Terms from time to time to reflect:
- changes in applicable laws;
- technological developments;
- changes to our Services;
- security requirements;
- commercial requirements; or
- any other legitimate business reason.
Where changes are material, WarbleLive shall take reasonable steps to notify Users through the Platform, email or other appropriate communication channels.
Your continued use of the Platform following the effective date of any amendment constitutes acceptance of the revised Terms.
If you do not agree to the amended Terms, you must discontinue your use of the Platform.
6. USER ACCOUNTS
6.1 Account Registration
Certain features of the Platform require the creation of a User Account. Users may register as Buyers, Event Organisers, or in such other categories as WarbleLive may introduce from time to time.
By creating an Account, you represent and warrant that:
- all information submitted during registration is true, accurate, current, complete, and not misleading;
- you are legally entitled to provide such information;
- you will promptly update your information whenever there is any change to ensure its continued accuracy; and
- your use of the Platform complies with these Terms and all Applicable Laws.
WarbleLive reserves the right to reject any registration or suspend the creation of any Account where it reasonably believes that the information provided is false, incomplete, misleading, fraudulent, or otherwise inconsistent with these Terms.
6.2 One Account Policy
Unless otherwise expressly authorised by WarbleLive, each User may maintain only one Account.
WarbleLive reserves the right to merge, suspend or permanently close duplicate Accounts where it reasonably believes multiple Accounts have been created to circumvent these Terms, obtain unfair commercial advantages, abuse promotional campaigns, manipulate ticket purchases, or engage in fraudulent activities.
6.3 Business Accounts
Where an Account is created on behalf of a company, partnership, association, governmental body or other legal entity, the individual registering the Account represents and warrants that they possess full authority to bind that entity to these Terms.
The legal entity shall remain fully responsible for all activities conducted through its Account.
7. ACCOUNT SECURITY
Users are solely responsible for maintaining the confidentiality of their login credentials, including usernames, passwords, one-time passwords (OTPs), authentication devices and any other security credentials associated with their Accounts.
You agree to:
- maintain secure passwords;
- implement reasonable security measures to prevent unauthorised access;
- immediately notify WarbleLive upon becoming aware of any unauthorised access or suspected compromise of your Account;
- log out of your Account after each session on shared or public devices.
WarbleLive shall not be liable for any loss arising from your failure to adequately protect your login credentials.
Users remain responsible for all activities conducted through their Accounts unless they can demonstrate that such activities resulted solely from WarbleLive's negligence or wilful misconduct.
8. IDENTITY VERIFICATION (KYC)
To promote trust, security and regulatory compliance, WarbleLive may require Users, particularly Event Organisers, to undergo identity verification before accessing certain features of the Platform.
Verification requirements may include, without limitation:
- Government-issued identification;
- Business registration documents;
- Tax identification information;
- Proof of address;
- Bank account verification;
- Selfie or biometric verification;
- Corporate authorisation documents;
- Any additional documentation reasonably required for compliance with Applicable Laws.
WarbleLive reserves the right to utilise trusted third-party verification providers in conducting such verification.
Failure to complete identity verification within the prescribed period may result in:
- restricted access to certain Services;
- delayed ticket settlements;
- suspension of ticket sales;
- withholding of payouts pending verification;
- suspension or termination of the Account.
Completion of identity verification does not constitute an endorsement, guarantee or certification of any User by WarbleLive.
9. EVENT ORGANISER VERIFICATION
WarbleLive may require Event Organisers to satisfy additional verification requirements before publishing Events or receiving settlement payments.
Such requirements may include:
- proof of ownership or authority to organise the Event;
- venue confirmation;
- event permits or regulatory approvals;
- tax documentation;
- anti-money laundering checks;
- source-of-funds information where reasonably required.
WarbleLive reserves the right to refuse to list any Event where adequate verification is not provided.
10. ELECTRONIC COMMUNICATIONS
By using the Platform, you consent to receive electronic communications from WarbleLive, including:
- account notifications;
- purchase confirmations;
- ticket confirmations;
- payment receipts;
- security alerts;
- policy updates;
- event reminders;
- customer support communications;
- regulatory notices; and
- marketing communications, subject to your communication preferences and Applicable Law.
Electronic communications delivered through email, SMS, push notifications, WhatsApp (where applicable), in-app notifications, or other electronic means shall satisfy any legal requirement that such communications be in writing.
Users may opt out of promotional communications where legally permissible; however, transactional and security-related communications remain mandatory.
11. ACCEPTABLE USE OF THE PLATFORM
Users shall use the Platform responsibly, lawfully and in good faith.
Without limiting the foregoing, Users agree to:
- comply with these Terms;
- comply with Applicable Laws;
- respect the rights of other Users;
- refrain from interfering with the proper functioning of the Platform;
- use the Platform solely for legitimate purposes.
12. PROHIBITED ACTIVITIES
Users shall not directly or indirectly:
- create fraudulent Accounts;
- impersonate any individual or entity;
- provide false or misleading information;
- use stolen payment instruments;
- purchase Tickets using fraudulent means;
- circumvent ticket purchase limits;
- manipulate ticket pricing;
- engage in ticket scalping where prohibited by Applicable Law or WarbleLive policies;
- use bots, scripts, automated purchasing software or similar technologies to obtain Tickets;
- introduce viruses, malware or malicious code;
- reverse engineer or attempt to gain unauthorised access to the Platform;
- interfere with Platform security or infrastructure;
- scrape, harvest or extract Platform data without prior written consent;
- upload unlawful, defamatory, obscene, discriminatory, hateful or infringing Content;
- infringe any Intellectual Property Rights;
- use the Platform to facilitate money laundering, terrorist financing or other unlawful financial activity;
- engage in phishing, identity theft or fraudulent schemes;
- use the Platform to distribute spam or unsolicited communications;
- attempt to bypass security measures;
- disrupt Events or interfere with other Users' enjoyment of the Services;
- use the Platform in any manner capable of damaging WarbleLive's reputation or goodwill.
13. FRAUD MONITORING
WarbleLive employs automated and manual fraud detection systems to protect the integrity of the Platform.
WarbleLive reserves the right to:
- delay or refuse transactions;
- request additional verification;
- suspend payouts;
- cancel Tickets obtained fraudulently;
- report suspicious transactions to financial institutions, payment processors or competent regulatory authorities;
- cooperate with law enforcement agencies.
Users acknowledge that fraud prevention measures may occasionally delay legitimate transactions.
14. ACCOUNT SUSPENSION AND RESTRICTIONS
Without prejudice to any other rights available under these Terms or Applicable Law, WarbleLive may temporarily suspend, restrict or permanently terminate any Account where it reasonably believes that the User has:
- breached these Terms;
- engaged in fraudulent conduct;
- violated Applicable Law;
- compromised Platform security;
- abused the Services;
- infringed the rights of third parties;
- exposed WarbleLive to legal, financial or reputational risk.
Where reasonably practicable, WarbleLive may notify the affected User of the reasons for the suspension. However, WarbleLive may withhold such notice where disclosure could prejudice an investigation, compromise security, or violate Applicable Law.
15. USER RESPONSIBILITY
Users remain solely responsible for:
- all activities conducted through their Accounts;
- maintaining the confidentiality of their credentials;
- ensuring the accuracy of information submitted to WarbleLive;
- complying with all Applicable Laws in connection with their use of the Platform.
Nothing in these Terms shall be construed as creating a partnership, agency, employment, fiduciary or joint venture relationship between WarbleLive and any User solely by reason of their use of the Platform.
16. EVENT LISTINGS
16.1 Creation of Events
Event Organisers may create and publish Events on the Platform subject to these Terms and any additional requirements prescribed by WarbleLive.
Each Event listing must accurately describe the Event and include all material information reasonably required by prospective Buyers, including:
- the Event title;
- date and time;
- venue or virtual access details;
- ticket categories;
- applicable prices;
- seating arrangements (where applicable);
- age restrictions;
- accessibility information (where applicable);
- refund policy;
- any material restrictions or special conditions.
Event Organisers are solely responsible for ensuring that all Event information remains complete, accurate and up to date throughout the period during which Tickets are offered for sale.
16.2 Accuracy of Listings
Event Organisers represent and warrant that:
- they possess all rights, licences, approvals and authority necessary to organise and promote the Event;
- the Event complies with all Applicable Laws;
- all advertising and promotional materials are truthful and not misleading;
- the Event does not infringe the Intellectual Property Rights or other rights of any third party.
WarbleLive reserves the right, but shall not be obliged, to verify Event information before publication.
16.3 Removal of Events
WarbleLive may reject, suspend, edit or remove any Event listing without prior notice where it reasonably believes that:
- the Event violates these Terms;
- the Event is fraudulent or misleading;
- the Event may expose Users to harm;
- the Event infringes Applicable Law;
- publication may expose WarbleLive to legal, financial or reputational risk.
Where reasonably practicable, WarbleLive shall notify the Event Organiser of the reason for such action.
17. EVENT ORGANISER RESPONSIBILITIES
Each Event Organiser remains solely responsible for:
- organising, managing and delivering the Event;
- obtaining all required permits, approvals and licences;
- complying with health, safety and security obligations;
- ensuring venue readiness;
- engaging performers, vendors and service providers;
- honouring valid Tickets;
- responding to attendee enquiries relating to the Event;
- complying with tax obligations arising from ticket sales;
- complying with consumer protection laws.
WarbleLive acts solely as a technology platform unless expressly stated otherwise.
Nothing in these Terms shall be interpreted as making WarbleLive a promoter, organiser, employer, partner or agent of any Event Organiser.
18. TICKET PURCHASES
Tickets may be purchased through the Platform using payment methods approved by WarbleLive.
Submission of payment details constitutes an offer to purchase the selected Ticket.
A Ticket purchase shall not be deemed complete until:
- payment has been successfully processed;
- the transaction has been authorised by the relevant payment provider;
- WarbleLive or its payment processor has issued confirmation of purchase.
WarbleLive reserves the right to refuse or cancel any purchase before confirmation where fraud, pricing errors, system malfunction or other legitimate concerns are identified.
19. TICKET PRICING
Ticket prices are determined by the respective Event Organiser unless otherwise specified.
Displayed prices may include:
- applicable taxes;
- service charges;
- processing fees;
- convenience fees;
- payment gateway charges;
- other disclosed charges.
Before completing a purchase, Buyers shall be presented with the total amount payable.
WarbleLive reserves the right to correct manifest pricing errors before completing a transaction.
Where an obvious pricing error occurs, WarbleLive may cancel the affected transaction and refund any amount already paid.
20. PAYMENT PROCESSING
Payments made through the Platform may be processed by third-party payment service providers.
By submitting payment information, Buyers authorise WarbleLive and its payment partners to process payments on their behalf.
WarbleLive does not store complete payment card information except where permitted under Applicable Law and applicable payment security standards.
Payment processing remains subject to:
- banking regulations;
- card scheme rules;
- payment provider requirements;
- anti-money laundering obligations;
- fraud prevention measures.
WarbleLive shall not be responsible for delays caused by banks, payment processors or telecommunications providers.
21. SETTLEMENT OF FUNDS TO EVENT ORGANISERS
Where WarbleLive facilitates ticket sales on behalf of an Event Organiser, settlement of ticket proceeds shall occur in accordance with the applicable commercial agreement or settlement schedule communicated to the Event Organiser.
WarbleLive may deduct:
- agreed service fees;
- processing fees;
- taxes required by Applicable Law;
- chargebacks;
- refunds;
- penalties arising from breaches of these Terms;
- any other amounts lawfully due before settlement.
WarbleLive reserves the right to temporarily withhold settlement where reasonably necessary to:
- investigate fraud;
- resolve customer complaints;
- comply with regulatory obligations;
- manage chargeback risks;
- enforce these Terms.
22. REFUNDS
Unless otherwise required by Applicable Law, refund eligibility shall primarily be determined by the refund policy specified by the relevant Event Organiser.
Refunds may be available where:
- an Event is cancelled;
- an Event is materially altered;
- duplicate payments occur;
- payment errors arise;
- Applicable Law requires a refund.
Refund requests must be submitted through the procedures prescribed by WarbleLive.
Service fees, payment processing charges and other non-refundable charges may be excluded from any refund unless otherwise required by Applicable Law.
Where a refund is approved, payment shall ordinarily be made using the original payment method.
23. EVENT CANCELLATION
Where an Event is cancelled, the Event Organiser remains primarily responsible for determining refund arrangements, subject to Applicable Law and any applicable agreement with WarbleLive.
WarbleLive may assist in facilitating refunds but does not assume primary liability for the cancellation unless WarbleLive is expressly identified as the Event Organiser.
24. EVENT POSTPONEMENT OR RESCHEDULING
Where an Event is postponed or rescheduled:
- purchased Tickets may remain valid for the new date;
- the Event Organiser shall communicate revised details to affected Buyers;
- any applicable refund rights shall be determined by Applicable Law and the Event Organiser's stated refund policy.
WarbleLive shall use reasonable efforts to communicate updated Event information but cannot guarantee that all communications will be received by every Buyer.
25. TICKET DELIVERY
Following successful payment, Tickets shall ordinarily be delivered electronically through one or more of the following methods:
- email;
- in-app access;
- downloadable PDF;
- QR code;
- digital wallet integration;
- any other method designated by WarbleLive.
Buyers are responsible for ensuring that:
- their contact information is accurate;
- they can access the email address associated with their Account;
- electronic Tickets are safely stored.
WarbleLive shall not be responsible for failures resulting from incorrect email addresses, spam filters, deleted emails or loss of access to a User's Account.
26. QR CODES AND EVENT ENTRY
Each Ticket issued through the Platform may contain a unique QR code, barcode or other digital identifier.
Each Ticket is valid for a single admission unless otherwise expressly stated.
WarbleLive and Event Organisers reserve the right to refuse entry where:
- a Ticket has already been scanned;
- the Ticket has been altered;
- the Ticket was fraudulently obtained;
- the Ticket has been cancelled;
- the Ticket cannot be authenticated.
Possession of a Ticket does not guarantee admission where venue capacity limits, security concerns or Applicable Law require refusal of entry.
27. TICKET TRANSFERS
Where permitted by the Event Organiser and the Platform, Buyers may transfer Tickets in accordance with procedures prescribed by WarbleLive.
WarbleLive reserves the right to prohibit or restrict Ticket transfers in order to:
- prevent fraud;
- reduce ticket scalping;
- protect Event integrity;
- comply with Applicable Law.
Unauthorised resale or transfer of Tickets may result in cancellation without refund.
28. CHARGEBACKS AND PAYMENT DISPUTES
Where a Buyer initiates a chargeback or payment dispute, WarbleLive may:
- suspend the relevant transaction;
- withhold settlement funds;
- request supporting documentation from the Buyer or Event Organiser;
- recover losses arising from fraudulent or unjustified chargebacks;
- suspend the Accounts of Users involved in abusive chargeback activity.
Event Organisers agree to cooperate fully in responding to payment disputes and shall provide all information reasonably requested by WarbleLive or the relevant payment provider.
29. TAXES
Event Organisers remain solely responsible for determining, collecting, reporting and remitting all taxes applicable to their Events, except where Applicable Law expressly requires WarbleLive to deduct or remit taxes on their behalf.
WarbleLive may provide transaction records to Event Organisers for informational purposes but does not provide tax or accounting advice.
30. NO GUARANTEE OF TICKET AVAILABILITY
WarbleLive does not guarantee that Tickets will remain available until payment has been successfully completed.
Tickets may sell out while a User is in the process of completing a transaction.
Adding a Ticket to a shopping cart or initiating checkout does not reserve that Ticket unless the Platform expressly indicates otherwise.
31. EVENT ORGANISER REPRESENTATIONS AND WARRANTIES
By listing an Event on the Platform, each Event Organiser represents, warrants and undertakes that:
- it has the full legal right, authority and capacity to organise, promote and conduct the Event;
- all information provided on the Platform is true, accurate, complete and not misleading;
- the Event complies with all Applicable Laws, regulations, licences and permits;
- all advertised performers, speakers, venues and sponsors have authorised their participation where required;
- the Event does not infringe the Intellectual Property Rights, privacy rights or other legal rights of any third party;
- all taxes, levies and statutory obligations relating to the Event shall be duly paid;
- appropriate insurance shall be maintained where required by Applicable Law or reasonably necessary having regard to the nature of the Event;
- attendees shall be treated fairly, professionally and in accordance with applicable consumer protection legislation.
The Event Organiser acknowledges that WarbleLive relies on these representations when making the Event available on the Platform.
32. EVENT ORGANISER OBLIGATIONS
In addition to any obligations contained elsewhere in these Terms, each Event Organiser shall:
- deliver the Event substantially as advertised;
- promptly communicate any material changes affecting the Event;
- maintain appropriate customer support for attendees;
- honour valid Tickets presented for admission;
- cooperate with WarbleLive in resolving customer complaints;
- promptly notify WarbleLive of any legal claims, regulatory investigations or disputes relating to the Event;
- refrain from engaging in deceptive marketing practices;
- maintain accurate financial and settlement information.
Failure to comply with this Clause may result in suspension of payouts, removal of Event listings, suspension of the Organiser's Account or termination of access to the Platform.
33. USER CONDUCT
Users shall conduct themselves in a lawful, respectful and responsible manner when using the Platform and when attending Events.
Users shall not:
- harass, threaten or intimidate other Users;
- engage in abusive, discriminatory or hateful conduct;
- upload unlawful, defamatory or obscene material;
- interfere with another person's use of the Platform;
- circumvent security measures;
- attempt to gain unauthorised access to any system connected with the Platform;
- misuse customer support channels;
- knowingly provide false information;
- engage in fraudulent or deceptive conduct.
Users attending Events must additionally comply with all venue rules and the lawful instructions of Event Organisers, venue operators and security personnel.
34. PROHIBITED EVENTS
WarbleLive reserves the right to refuse, suspend or remove any Event that, in its reasonable opinion:
- promotes violence, terrorism or criminal activity;
- facilitates fraud or financial crime;
- violates Applicable Law;
- infringes Intellectual Property Rights;
- promotes hate speech, discrimination or unlawful conduct;
- involves counterfeit goods;
- endangers public health or safety;
- is likely to expose WarbleLive to regulatory, legal or reputational risk.
WarbleLive may take such action without prior notice where immediate action is reasonably necessary.
35. INTELLECTUAL PROPERTY
Unless otherwise expressly stated, all Intellectual Property Rights in and to the Platform, including its software, source code, databases, design, layout, trademarks, logos, graphics, text, audiovisual materials and other proprietary content, are owned by or licensed to WarbleLive.
Nothing contained in these Terms transfers any ownership rights in the Platform to any User.
Users acquire only the limited right to access and use the Platform in accordance with these Terms.
36. LIMITED LICENCE
Subject to continued compliance with these Terms, WarbleLive grants Users a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform solely for its intended purposes.
This licence does not permit Users to:
- reproduce the Platform;
- distribute Platform content without authorisation;
- modify or create derivative works;
- reverse engineer the Platform;
- commercially exploit any part of the Platform without prior written consent.
Any rights not expressly granted are reserved by WarbleLive.
37. WARBLELIVE TRADEMARKS
The name "WarbleLive", its logos, branding elements, slogans, trade dress and associated marks are proprietary assets of WarbleLive.
Users shall not use any WarbleLive trademark without prior written consent except where such use is expressly permitted by Applicable Law.
38. USER CONTENT
Users may upload or submit Content to the Platform including:
- Event descriptions;
- photographs;
- videos;
- promotional materials;
- reviews;
- comments;
- ratings;
- profile information; and
- other materials.
Users remain responsible for all Content they submit.
39. LICENCE TO USER CONTENT
By uploading or submitting Content to the Platform, the User grants WarbleLive a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, publish, display, distribute, adapt, translate, promote and otherwise use such Content solely for the purpose of:
- operating the Platform;
- providing the Services;
- marketing Events;
- improving the Platform;
- complying with legal obligations.
This licence shall continue for as long as reasonably necessary for the operation of the Services, subject to Applicable Law.
40. WARRANTIES RELATING TO USER CONTENT
Users warrant that:
- they own or possess all necessary rights to upload the Content;
- the Content does not infringe any Intellectual Property Rights;
- the Content is lawful;
- the Content is not defamatory, fraudulent or misleading;
- the Content does not violate any contractual obligation owed to another person.
Users shall indemnify WarbleLive against claims arising from any breach of these warranties.
41. CONTENT MODERATION
WarbleLive may, but is under no obligation to:
- monitor User Content;

WarbleLive may remove Content that it reasonably considers:
- unlawful;
- misleading;
- fraudulent;
- offensive;
- infringing;
- harmful;
- inconsistent with these Terms.
The exercise or non-exercise of these rights shall not make WarbleLive responsible for User Content.
42. COPYRIGHT COMPLAINTS
Any person who believes that material available on the Platform infringes their Intellectual Property Rights may submit a written complaint to WarbleLive containing:
- identification of the protected work;
- identification of the allegedly infringing material;
- sufficient information enabling WarbleLive to locate the material;
- proof of ownership or authority;
- contact details;
- a statement made in good faith that the complaint is accurate.
WarbleLive may remove or disable access to disputed material pending investigation.
43. FEEDBACK
Any suggestions, ideas, comments, recommendations or feedback submitted by Users regarding the Platform may be used by WarbleLive without restriction or obligation to compensate the User.
By submitting feedback, the User grants WarbleLive a perpetual, irrevocable, worldwide, royalty-free licence to use, modify and incorporate such feedback into its products and services.
44. THIRD-PARTY CONTENT
The Platform may display Content, advertisements or links provided by third parties.
WarbleLive does not endorse, verify or guarantee the accuracy, legality or reliability of third-party Content.
Users access third-party websites and services entirely at their own risk.
WarbleLive shall not be liable for any loss or damage arising from reliance upon third-party Content or services.
45. Privacy and Data Protection
WarbleLive collects, processes, stores and uses personal information in accordance with its Privacy Policy and applicable data protection laws, including the Nigerian Data Protection Act, 2023. By using the Platform, Users consent to the collection and processing of their personal data for purposes including account administration, ticket purchases, payment processing, customer support, fraud prevention, legal compliance and service improvement.
46. Confidentiality
Where Users receive confidential or proprietary information through the Platform, they agree to keep such information confidential and not disclose or use it except as authorised or required by law.
47. Third-Party Services
The Platform may integrate with third-party payment processors, venues, social media platforms, analytics providers and other service providers. WarbleLive is not responsible for the availability, security or performance of third-party services and Users access such services at their own risk.
48. Platform Availability
WarbleLive will use reasonable efforts to maintain the availability of the Platform but does not guarantee uninterrupted, error-free or secure access. The Platform may be temporarily unavailable due to maintenance, system upgrades, technical failures or events beyond WarbleLive's reasonable control.
49. Disclaimers
The Platform and all Services are provided on an "as is" and "as available" basis. Except as required by Applicable Law, WarbleLive makes no representations or warranties regarding the availability, reliability, accuracy, completeness, security or fitness of the Platform or any Event listed on it. WarbleLive does not guarantee the success, quality, legality or safety of any Event and is not responsible for the acts or omissions of Event Organisers, Buyers or third parties.
50. Limitation of Liability
To the fullest extent permitted by law, WarbleLive shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, goodwill, business opportunities or data arising out of or relating to the use of the Platform. Where liability cannot be excluded by law, WarbleLive's aggregate liability shall be limited to the amount of service fees paid to WarbleLive in relation to the transaction giving rise to the claim during the twelve (12) months preceding the claim.
51. Indemnity
Users agree to indemnify, defend and hold harmless WarbleLive, its directors, officers, employees, affiliates and agents from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising from:
- their breach of these Terms;
- their misuse of the Platform;
- their violation of Applicable Law;
- infringement of any third-party rights; or
- any Event organised or conducted by an Event Organiser.
This indemnity shall survive the suspension or termination of a User's Account.
52. Suspension and Termination
WarbleLive reserves the right, at its sole discretion and without prejudice to any other rights available under these Terms or Applicable Law, to suspend, restrict or terminate a User's access to the Platform where the User:
- breaches these Terms or any applicable policy;
- provides false, misleading or fraudulent information;
- engages in unlawful, abusive or fraudulent activities;
- infringes the rights of WarbleLive or any third party;
- compromises the security or integrity of the Platform; or
- otherwise exposes WarbleLive to legal, financial or reputational risk.
Users may terminate their Account at any time by following the account closure process available on the Platform. Termination shall not affect any rights or obligations that accrued prior to the effective date of termination.
WarbleLive may retain information relating to terminated Accounts where required by Applicable Law, regulatory requirements or legitimate business purposes.
53. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
54. Dispute Resolution
The Parties shall use reasonable efforts to resolve any dispute arising out of or relating to these Terms through good faith negotiations.
Where a dispute cannot be resolved amicably within thirty (30) days of written notice by either Party, the dispute shall be referred to mediation before a mutually agreed mediator in Nigeria.
If mediation is unsuccessful, the dispute shall be submitted to the competent courts of Nigeria, which shall have exclusive jurisdiction to determine the matter.
Nothing in this Clause prevents WarbleLive from seeking urgent injunctive or equitable relief before a court of competent jurisdiction where necessary to protect its intellectual property, confidential information or other legal rights.
55. Force Majeure
WarbleLive shall not be liable for any delay or failure in performing its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including natural disasters, pandemics, acts of government, war, terrorism, civil unrest, labour disputes, cyberattacks, telecommunications failures or interruptions to third-party services.
Performance shall be suspended for the duration of the Force Majeure Event, and WarbleLive shall use reasonable efforts to resume performance as soon as practicable.
56. Notices
All notices relating to these Terms shall be provided electronically through the Platform, by email or by any other communication method designated by WarbleLive.
Users are responsible for ensuring that their contact information remains current and accurate. Notices shall be deemed received upon successful transmission to the email address or communication channel provided by the User.
57. Assignment
Users may not assign, transfer or otherwise dispose of any rights or obligations under these Terms without the prior written consent of WarbleLive.
WarbleLive may assign or transfer its rights and obligations under these Terms to any affiliate, successor or purchaser of its business without prior notice to Users.
58. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Any invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
59. Waiver
No failure or delay by WarbleLive in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. Any waiver shall be effective only if made in writing.
60. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Community Guidelines and any other policies expressly incorporated by reference, constitute the entire agreement between WarbleLive and the User regarding the use of the Platform and supersede all prior agreements, representations or understandings relating to the subject matter.
61. Survival
Any provisions of these Terms which by their nature are intended to survive termination, including provisions relating to intellectual property, confidentiality, limitation of liability, indemnity, dispute resolution and governing law, shall remain in full force and effect notwithstanding the suspension or termination of a User's Account.
